By accessing or using the Easy Loyalty website and services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. These Terms apply to all visitors, users, merchants, and others who access the Service.

2. Description of Service

Easy Loyalty provides a digital loyalty platform that enables merchants to create and manage cashback loyalty programs. Customers can participate in these programs via Apple Wallet and Google Wallet passes without downloading a separate application. The Service includes a merchant dashboard, loyalty program management tools, analytics, and related features.

3. Account Registration

  • You must provide accurate, complete, and current information when creating an account.
  • You are responsible for maintaining the confidentiality of your account credentials.
  • You are responsible for all activities that occur under your account.
  • You must notify us immediately of any unauthorized use of your account by contacting [email protected].
  • We reserve the right to suspend or terminate accounts that violate these Terms.

4. Merchant Obligations

If you use the Service as a merchant, you agree to:

  • Provide accurate business information and loyalty program details.
  • Honor the cashback and reward terms you set for your loyalty programs.
  • Comply with all applicable laws and regulations related to your business and loyalty programs.
  • Not use the Service for any fraudulent, misleading, or unlawful purposes.
  • Ensure that your use of customer data complies with applicable privacy laws.

5. Customer Obligations

If you use the Service as a customer participating in loyalty programs, you agree to:

  • Provide accurate information when joining loyalty programs.
  • Not attempt to manipulate, abuse, or exploit loyalty programs.
  • Understand that loyalty rewards are subject to the terms set by each merchant.

6. Payments and Billing

  • Merchants may be required to pay subscription fees to access certain features of the Service.
  • All fees are billed in advance on a recurring basis unless otherwise stated.
  • Payments are processed securely through Stripe. By providing payment information, you agree to Stripe's terms of service.
  • You are responsible for all applicable taxes associated with your use of the Service.
  • We reserve the right to change pricing with reasonable notice. Continued use after a pricing change constitutes acceptance.

7. Intellectual Property

The Service, including its design, code, logos, and content, is owned by Easy Loyalty and protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent. You retain ownership of any content you upload to the Service (e.g., business logos, program descriptions).

8. Prohibited Uses

You agree not to:

  • Use the Service for any illegal or unauthorized purpose.
  • Interfere with or disrupt the Service or its infrastructure.
  • Attempt to gain unauthorized access to any part of the Service.
  • Transmit malware, viruses, or any harmful code.
  • Scrape, crawl, or use automated tools to extract data from the Service without permission.
  • Impersonate another person or entity.

9. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. You may terminate your account at any time by contacting us. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination will remain in effect.

10. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not guarantee that the Service will be uninterrupted, secure, or error-free. We are not responsible for the actions, content, or policies of any merchants using the platform.

11. Limitation of Liability

To the maximum extent permitted by law, Easy Loyalty shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, or goodwill arising from your use of the Service. Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Easy Loyalty, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service or violation of these Terms.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the revised Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with applicable law, without regard to conflict of law principles.

15. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
